Terms of Use

ASI Software

These Terms of Use govern your access to and use of the ASI Software mobile application, web portal, and related services, features, content, tools, and documentation, collectively referred to as the “App” or the “Services.”

The App may be made available for download through the Apple App Store and the Google Play Store, depending on your device, country, region, and availability. Your use of those app stores is also governed by the applicable terms and policies of Apple or Google.

The App is provided by ASI Software Inc., referred to in these Terms as “ASI,” “we,” “us,” or “our.”

By downloading, accessing, or using ASI Software, you agree to these Terms. If you do not agree, do not use the App.

1. Purpose of the App

ASI Software is an asset management and inspection platform designed to help municipalities, facility owners, engineering teams, and infrastructure managers organize, assess, and plan for their infrastructure assets. The Services may support:

  • Asset inventory management;
  • Condition assessments;
  • Field inspections;
  • Deficiency tracking;
  • Photo and file uploads;
  • GIS/map-based asset viewing;
  • Lifecycle planning;
  • Maintenance and capital planning support.

The App is intended to support asset management workflows and informed decision-making. It does not replace professional engineering judgment, legal advice, financial advice, or the asset owner’s responsibility to review and approve final decisions.

2. Account Access

Access to the App may require an authorized user account created or approved by ASI or by your organization.

You are responsible for:

  • Keeping your login credentials confidential;
  • Ensuring information entered under your account is accurate;
  • Not sharing your account with unauthorized users;
  • Notifying ASI if you believe your account has been compromised.

ASI may suspend or disable access if we believe an account has been misused, compromised, or used in violation of these Terms.

3. Download, Subscription, and Payment

The App may be available for download from the Apple App Store or Google Play Store. Downloading the App may be free; however, access to certain features, modules, client environments, or data may require an active subscription, service agreement, or approved client account with ASI.

Subscription terms, pricing, billing frequency, renewal dates, and cancellation terms may be set out in a separate agreement, order form, proposal, quote, invoice, or subscription checkout process.

Payments may be processed through ASI-approved third-party payment providers or through a separate client agreement. ASI does not store complete payment card information in the App.

If any purchase, subscription, refund, or cancellation is processed directly through an app store, the applicable app store’s payment, refund, and cancellation terms may also apply.

4. Apple App Store and Google Play Store Terms

Where ASI Software is downloaded from the Apple App Store or the Google Play Store, the following additional terms apply, as applicable to the store used to download or access the App.

Apple App Store

  1. The App is licensed, not sold, to you.
  2. ASI, not Apple, is responsible for the App, its content, maintenance, and support, except where applicable law requires otherwise.
  3. Your use of the App must also comply with Apple’s applicable App Store terms and usage rules.
  4. Apple is not responsible for any claims relating to the App, including product liability claims, intellectual property claims, or claims that the App does not meet legal or regulatory requirements, except where applicable law requires otherwise.
  5. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce these Terms against you where applicable.

Google Play Store

  1. Your use of Google Play and any apps made available through Google Play is also subject to the applicable Google Play Terms of Service and Google Terms of Service.
  2. ASI, not Google, is responsible for ASI Software, including the App content, support, client data, subscriptions, and services described in these Terms, except where applicable law requires otherwise.
  3. Google is not responsible for providing support for ASI Software, resolving client data issues, validating inspection information, or providing professional advice through the App, except where applicable law requires otherwise.
  4. Installation, updates, device compatibility, store account access, refunds, and store-related issues may be subject to Google Play policies and the user’s Google account terms.
  5. Your use of the App must comply with applicable Google Play policies, device requirements, and account terms.

The Apple App Store and Google Play Store are third-party distribution platforms. ASI remains responsible for providing ASI Software and the ASI Services described in these Terms.

5. License to Use the App

Subject to these Terms, ASI grants you a limited, non-exclusive, non-transferable, revocable license to use ASI Software for your organization’s internal asset management, inspection, reporting, and planning purposes.

You may use the App only:

  • For lawful purposes;
  • In accordance with these Terms;
  • In accordance with any applicable client agreement or subscription;
  • On devices and systems that you own, control, or are authorized to use.

You do not acquire ownership of the App, software code, designs, workflows, templates, reports, database structure, or other ASI intellectual property.

6. Restrictions

You must not:

  • Copy, modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the App;
  • Sell, sublicense, rent, lease, or commercially exploit the App without written permission from ASI;
  • Use the App to upload unlawful, harmful, defamatory, abusive, misleading, or infringing content;
  • Attempt to bypass authentication, security, usage limits, or access controls;
  • Access another client’s data without authorization;
  • Interfere with the operation, performance, or security of the App;
  • Use automated tools, scraping, bots, or scripts to extract data from the App unless expressly approved by ASI.

These restrictions apply regardless of whether the App is accessed through a browser, downloaded from the Apple App Store, downloaded from the Google Play Store, or accessed through any other ASI-approved method.

7. Client Data and User Content

You or your organization may upload, enter, or generate data through the App, including asset records, inspection notes, photos, condition ratings, deficiency information, locations, documents, and related project information.

As between ASI and your organization, your organization retains ownership of its client data.

By using the App, you grant ASI permission to host, process, store, transmit, back up, and display client data as necessary to provide the Services, support users, maintain and improve the App, and fulfill ASI’s contractual obligations.

You are responsible for ensuring that you have the right to upload and use any information, photos, files, or data submitted through the App.

8. Privacy

ASI’s collection, use, storage, and disclosure of personal information is described in our Privacy Policy.

By using the App, you acknowledge that ASI may collect and use information required to operate, secure, support, and improve the App, including account information, contact information, inspection records, uploaded files, photos, device information, log data, and technical diagnostics.

Apple, Google, and other third-party service providers may collect or process information in accordance with their own terms and privacy policies when you use their app stores, devices, accounts, or services.

9. Location, Maps, and Third-Party Services

The App may include map features, location tools, integrations, or services provided by third parties, including mapping providers, cloud hosting services, authentication providers, payment processors, app store providers, and other external platforms.

Third-party services are governed by their own terms and privacy policies. ASI is not responsible for the availability, accuracy, security, or performance of third-party services.

Asset locations, map layers, coordinates, and GIS data are provided for planning and asset management support only and should be verified before being used for construction, excavation, emergency response, legal boundaries, or other high-risk decisions.

10. No Professional Advice

The App may display condition ratings, estimated useful life, replacement costs, lifecycle forecasts, risk scores, or capital planning information.

This information is provided for asset management support and general planning purposes only. It is not a substitute for professional engineering review, site-specific investigation, legal advice, accounting advice, financial advice, or formal budget approval.

Users and asset owners remain responsible for reviewing, verifying, and approving all decisions, reports, budgets, inspections, and recommendations.

11. Accuracy of Information

ASI makes reasonable efforts to support accurate data entry, reporting, and asset management workflows. However, the accuracy of information in the App depends on the quality, completeness, and timeliness of data entered by users, clients, consultants, inspectors, and third-party sources.

ASI does not guarantee that all data, maps, estimates, forecasts, or reports will be complete, current, error-free, or suitable for every purpose.

12. Availability and Updates

ASI may update, modify, suspend, or discontinue all or part of the App at any time. Updates may include bug fixes, security improvements, feature changes, module changes, or changes required for compatibility with third-party platforms, including Apple App Store and Google Play Store requirements.

Some features may require internet access, compatible devices, supported browsers, current app versions, app store availability, or active subscriptions.

For apps downloaded through the Apple App Store or the Google Play Store, ASI is responsible for providing support for ASI Software, except where applicable law requires otherwise. Apple and Google may provide support for issues related to their respective app stores, accounts, devices, installation, or platform services.

14. Intellectual Property

ASI Software, including its design, branding, workflows, source code, database structure, templates, reports, graphics, names, logos, and documentation, is owned by ASI or its licensors.

You may not use ASI’s name, logo, branding, screenshots, or materials for marketing, resale, or public distribution without prior written permission.

15. Confidentiality

The App may contain confidential information belonging to ASI, clients, municipalities, facility owners, or other third parties.

You agree not to access, disclose, copy, export, or use confidential information except as authorized by your organization and ASI.

16. Warranty Disclaimer

The App is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, ASI disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, reliability, availability, and non-infringement.

ASI does not warrant that the App will be uninterrupted, error-free, secure, or free from defects.

App store providers may have their own warranty disclaimers, limitations, and platform terms. Nothing in these Terms limits rights that cannot be limited under applicable law.

17. Limitation of Liability

To the maximum extent permitted by law, ASI will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, loss of data, business interruption, loss of use, or costs of substitute services.

ASI’s total liability for any claim relating to the App will be limited to the amount paid by you or your organization for the App or Services during the twelve months before the claim arose, unless applicable law requires otherwise.

Nothing in these Terms limits liability that cannot be limited under applicable law.

18. Termination

ASI may suspend or terminate your access to the App if:

  • You breach these Terms;
  • Your subscription or client agreement expires or is cancelled;
  • Your organization requests removal of access;
  • Required payment is not received;
  • ASI reasonably believes continued access creates security, legal, operational, or data risk.

Upon termination, your right to access and use the App ends immediately. Uninstalling the App from a device or removing it from an app store account does not automatically cancel any separate ASI subscription or client agreement unless the applicable subscription terms state otherwise.

19. Changes to These Terms

ASI may update these Terms from time to time. The updated version will be posted in the App or on ASI’s website.

Your continued use of the App after updated Terms are posted means you accept the updated Terms.

20. Governing Law

These Terms are governed by the laws of the Province of Saskatchewan and the applicable laws of Canada, unless another jurisdiction is required by a separate written agreement or applicable law.
